1) Contracting Entity; Acceptance
These Terms of Service ("Terms") are entered into between you ("Customer", "you") and BytesGlue (DSO / Dtec) ("BytesGlue", "we", "us"). Legal notices: legal@bytesglue.com.
By accessing or using any BytesGlue or LicenseSeal product, site, SDK, download, portal, or service (collectively, the "Services"), you agree to be bound by these Terms. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity.
2) Scope; Order Forms
These Terms apply to all offerings, including SaaS (multi-tenant and managed), hybrid deployments, self-hosted/on-prem software, SDKs, binaries, portals, websites, documentation, and related materials.
If you enter into an order form, statement of work, quote/estimate, or other written agreement referencing the Services (each an "Order Form"), the Order Form will govern any commercial terms (including pricing, term, usage limits, or deliverables). If there is a conflict, the Order Form governs only for the subject matter of that conflict.
3) Acceptable Use
You will not, and will not permit any user or third party to:
We may suspend or restrict access to the Services where we reasonably determine it is necessary to address abuse, security risk, suspected fraud, legal/compliance risk, or to protect the Services or other customers.
4) Customer Data; Privacy; Logs
Customer Data. "Customer Data" means data or content you submit to the Services or process through the Services. You retain all rights in Customer Data. You grant BytesGlue a limited right to host, process, transmit, and display Customer Data solely as necessary to provide, maintain, secure, and support the Services.
Operational Data and Logs. We may collect and use operational metrics, analytics, and logs to operate, secure, support, and improve the Services (including for debugging, fraud prevention, and abuse detection). Logs may include technical and usage metadata (for example, timestamps, device identifiers, IP address, user agent, endpoints/URLs, and error traces).
Retention. For SaaS, operational logs are typically retained up to 7 days, unless a longer period is reasonably required for security investigation, dispute handling, or legal compliance.
Sensitive/Regulated Data. You agree not to submit regulated or highly sensitive data (including health data, payment card data, government IDs, or secrets/credentials) unless we expressly agree in writing.
5) Service Operation; Support
Service Operation. We will use commercially reasonable efforts to make the Services available and to maintain the security and integrity of the Services consistent with our standard practices. The Services may from time to time be unavailable due to planned maintenance, emergency maintenance, or circumstances beyond our reasonable control.
Support. Unless otherwise specified in an Order Form, support is provided during our normal business hours through our standard channels. Response times may vary based on severity and volume. Any service levels or uptime commitments must be expressly set out in an Order Form.
6) Fees; Renewals; Refunds; Trials
Fees and Renewals. Fees, billing cycle, and renewal terms (if any) are as shown at checkout or in an Order Form. Subscriptions renew automatically unless cancelled in accordance with your account settings, portal controls, or the applicable Order Form.
Refunds (SaaS). For SaaS subscriptions, we offer a 30-day money-back guarantee for the first paid month only. Approved refunds revoke any access, certificates, keys, or entitlements associated with the refunded subscription, and you must promptly cease use of the refunded Services.
Self-hosted / On-prem. Self-hosted and on-prem deployments are non-refundable, except where required by applicable law.
Trials. Trials may be offered at our discretion and may be limited, modified, or withdrawn where necessary to manage fraud/abuse risk.
7) Payments; Taxes; Merchant of Record (Paddle)
For certain purchases (including many online SaaS subscriptions), payments may be processed by Paddle acting as our Merchant of Record ("MoR"). For MoR transactions:

9) Intellectual Property; License
The Services, including all software, SDKs, documentation, trademarks, and related materials, are owned by BytesGlue or its licensors and are protected by intellectual property laws.
Subject to your compliance with these Terms and any applicable Order Form, BytesGlue grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your internal business purposes during the applicable subscription term or as otherwise specified in an Order Form.
10) Suspension; Termination; Effect of Termination
Suspension/Termination. We may suspend or terminate access to the Services if we reasonably determine that: (a) you materially breach these Terms; (b) your use poses a security risk, causes harm, or involves abuse/fraud; (c) required fees are overdue; or (d) continued provision would create legal or compliance risk.
Effect. Upon termination, your right to use the Services ends, and we may revoke or disable licenses, keys, or certificates associated with the Services. Sections that by their nature should survive will survive, including Sections 9-14.
11) Warranties; Disclaimers
Except as expressly stated in an Order Form, the Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, BytesGlue disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these Terms limits any warranty or right that cannot be lawfully excluded.

You will defend, indemnify, and hold harmless BytesGlue from and against any third-party claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of: (a) your misuse of the Services; (b) your violation of law; (c) your breach of these Terms; or (d) your Customer Data or your products/services integrated with the Services.
14) Disputes; Governing Law; Venue
Informal Resolution. Before initiating formal proceedings, you agree to provide written notice of the dispute to legal@bytesglue.com and to attempt in good faith to resolve the dispute for at least 30 days.
Governing Law. These Terms are governed by the laws in force in the Emirate of Dubai and, to the extent applicable, the federal laws of the United Arab Emirates, without regard to conflict of laws principles.
Venue; Jurisdiction. For business users, the courts of Dubai shall have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the Services, and each party irrevocably submits to such jurisdiction.
Consumer Rights. Nothing in these Terms limits mandatory consumer rights that cannot be waived under applicable law.
15) Changes
We may update these Terms from time to time. Material changes will be posted or otherwise notified. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
16) Force Majeure
Neither party will be liable for any delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet/telecom failures, government actions, or failures of third-party service providers.
17) Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
18) Severability; Waiver; Entire Agreement
If any provision is held unenforceable, the remaining provisions remain in effect. A failure to enforce any provision is not a waiver.
These Terms and any applicable Order Forms constitute the entire agreement regarding the Services and supersede prior or contemporaneous understandings on that subject.
